General Terms of Use and Sale

01Definitions

For the purposes of these General Terms:

Platform: TELECARE TRAINING®, professional simulation software for telecare training.
Company: VITOSER SOLUTIONS S.L., owner of the platform.
Client: Natural or legal person who acquires a licence of use.
User: Person authorised by the Client to access the platform.
Licence: Limited right to use the software under the purchased plan.
Centre: Educational centre, company or organisation holding the licence.

02Purpose

These General Terms govern the purchase, access, use and management of licences for TELECARE TRAINING®, a professional telecare simulation platform developed by VITOSER SOLUTIONS S.L., registered office at Marcelino Álvarez 11, 50012 Zaragoza, Spain, tax ID B99480352.

Accessing, browsing, purchasing or using the platform implies full and unreserved acceptance of these terms.

03Nature of the service

TELECARE TRAINING provides a digital service on a Software as a Service (SaaS) basis.

The services consist of online access to:

Simulation platform.
Training tools.
Student management.
Call management.
Teaching materials.
Documentation.
Features included in the purchased plan.

Purchasing grants only a limited, temporary, personal, revocable and non-exclusive licence of use, with no transfer of any intellectual or industrial property rights.

No physical product is supplied.

04Service availability

The platform will be continuously available, except for:

Scheduled maintenance.
Updates.
Technical improvements.
Force majeure.
Issues with external providers.

TELECARE TRAINING will take all reasonable measures to ensure continuity of service, without this implying an obligation of uninterrupted availability.

05Purchase process

The Client must:

Sign up.
Select the desired plan.
Complete the purchase process.
Make the corresponding payment.

Once payment is confirmed:

the licence will be activated,
credentials will be created,
access to the Client Area will be enabled.

The Company may reject any request where there are signs of fraud or breach.

06Licence of use

The licence granted:

is personal and non-transferable;
may not be sold;
may not be rented;
may not be sublicensed;
may not be shared with third parties.

Each licence may only be used up to the maximum number of users included in the purchased plan.

Purchasing a licence does not mean buying the software, only a temporary permission to use it.

07Permitted use

Users undertake to use the platform exclusively for its intended purpose.

The following are expressly prohibited:

sharing credentials;
allowing third-party access;
automating processes with bots;
carrying out load testing;
attempting to breach security measures;
modifying how the software works;
using the platform for unlawful purposes;
gaining access through reverse engineering.

08Updates

TELECARE TRAINING may add at any time:

new features;
improvements;
visual changes;
interface changes;
optimisations;
security updates;
removal of obsolete features.

These changes will not give rise to any right to compensation or refund.

09Prices and payment methods

All prices are in euros (€).

Unless stated otherwise, they include the applicable VAT.

Payment must be made in advance using the methods enabled on the platform.

Non-payment will result in automatic suspension of the service.

Price changes will only affect future purchases.

10Right of withdrawal

Under Article 103.m of Spanish Royal Legislative Decree 1/2007, the right of withdrawal does not apply once the supply of digital content has begun with the user's prior consent.

By activating the licence and accessing the platform, the user expressly acknowledges the loss of the right of withdrawal.

Once the licence is activated, no refund will be given.

11DEMO accounts

DEMO accounts are for evaluation purposes only.

TELECARE TRAINING may:

limit features;
limit the number of users;
limit usage time;
automatically cancel the account once the granted period ends.

DEMO accounts do not create any acquired rights.

12Intellectual Property

All intellectual and industrial property rights belong to TELECARE TRAINING or their legitimate owners.

Including:

software;
source code;
architecture;
algorithms;
design;
interface;
databases;
documentation;
content;
methodology;
logos;
brand;
images;
iconography;
visual identity.

The following are expressly prohibited:

copying;
reproducing;
distributing;
communicating publicly;
modifying;
translating;
decompiling;
reverse engineering;
creating derivative works;
accessing the source code;
marketing the platform in whole or in part.

All in accordance with the Spanish Intellectual Property Law and Article 270 of the Spanish Criminal Code.

13Use of Artificial Intelligence

It is expressly prohibited to use the platform, its content, documentation, interfaces, materials or any part of TELECARE TRAINING to train Artificial Intelligence, Machine Learning or similar models without the express written authorisation of VITOSER SOLUTIONS S.L.

14Screenshots and recordings

The following may not be made or shared:

screenshots;
recordings;
videos;
broadcasts;
photographs;
public demonstrations.

Unless authorised in advance and in writing by TELECARE TRAINING.

15Confidentiality

All technical documentation, methodologies, internal processes, know-how, architecture and materials are confidential information and trade secrets under Spanish Law 1/2019.

The user must maintain absolute confidentiality even after the contractual relationship ends.

16Technological protection

TELECARE TRAINING may implement systems to protect the platform, including:

digital watermarks;
document traceability;
activity logs;
device identification;
detection of unusual access;
usage monitoring;
anti-fraud tools;
automatic protection systems.

17Licence audits

Solely to verify compliance with the terms of use, TELECARE TRAINING may carry out automatic checks on the number of users, connected devices, simultaneous logins and use of purchased licences.

18Suspension and cancellation

TELECARE TRAINING may immediately suspend access if it detects:

breach of these terms;
fraud;
unlawful use;
transfer of licences;
simultaneous logins incompatible with the purchased plan;
infringement of intellectual property rights;
activities that compromise system security.

Suspension does not entitle the user to a refund.

19Limitation of liability

TELECARE TRAINING will not be liable for:

service interruptions;
internet issues;
external providers;
force majeure;
indirect loss of profits;
data loss caused by third parties;
misuse by the user.

In any case, the Company's maximum liability is limited to the amount actually paid for the licence concerned.

20Data protection

Personal data will be processed in accordance with Regulation (EU) 2016/679 (GDPR) and Spanish Organic Law 3/2018 (LOPDGDD).

The purposes of processing are:

contract management;
provision of the service;
technical support;
invoicing;
compliance with legal obligations;
service-related communications.

Users may exercise their rights of access, rectification, erasure, objection, restriction and portability by writing to:

21Registration and protection of rights

TELECARE TRAINING may register its software, documentation, designs, interfaces, trademark and other assets with official bodies, including:

the Spanish Intellectual Property Registry;
the Spanish Patent and Trademark Office (OEPM);
SafeCreative;
any other competent national or international body.

It may also use monitoring systems such as Google Alerts or other tools to detect possible unauthorised use.

22Applicable law and jurisdiction

These General Terms are governed by Spanish law.

Any dispute arising from the interpretation or performance of this contract will be heard by the courts of Zaragoza, unless mandatory consumer law provides otherwise.

TELECARE TRAINING®, its software, architecture, interface, design, documentation, training materials, source code, databases, logos, trademarks, graphic elements and other assets are protected by Spanish and international intellectual and industrial property law.

Any use, reproduction, distribution, transformation, reverse engineering, public communication or exploitation, in whole or in part, without the prior written authorisation of VITOSER SOLUTIONS S.L. is prohibited.

Breach of these terms may lead to civil, commercial and criminal proceedings.
